Economic events in a globalized world are becoming increasingly complex. Businesses are therefore continually searching for new ways to stay successful in their field. The sale and acquisition of businesses and business branches, all forms of management participation (MBO, MBI …), restructuring, all measures to raise and structure capital are important choices of action for the company to achieve its aims.

The very complex measures that often require the company to make ground-breaking changes demand careful preparation, monitoring and following-up, which is the greatest challenge to the company and its management. In an interdisciplinary working team of accountants, tax advisers, management consultants and lawyers from our associate legal office, we offer qualified advice and support in all crucial questions before, during and after the transaction.


Valuation Services

The reasons for preparing a company valuation constantly increase. Typical reasons include the sale and acquisition of companies, changes in partnerships, tax restructuring, rules on company succession, family legal disputes, capital measures including first listings and determining settlement amounts. The German Institute of Accountants (“Institut der Wirtschaftsprüfer in Deutschland e.V. – IDW”), in its German Auditing Standard on the Principles of Valuation (IDW S1), stipulates the use of methods based on future cash flows, such as the Discounted Cash Flow Method in the form of the concept of weighted capital costs (WACC approach) or, as the case may be, the concept of the adjusted cash value (APV approach). As we have been using the Discounted Cash Flow Method for many years our clients benefit from our experience.


Due Diligence Audits

Due diligence audits are indispensable in the acquisition of a company as they form a comprehensive SWOT analysis. Special attention is paid to the risks that do not appear or do not have to be included in the balance sheet, but also to the disclosure of future opportunities that cannot be discerned easily from studying the past business years.

The due diligence audit is not only essential for prospective buyers in business transactions. Within the scope of a so-called vendor due diligence audit, we advise the seller by pointing out the strengths and weaknesses before the sale so that arguments are at hand for the pending negotiations but also so that the seller can react better to the counterpart’s arguments.

Many past projects have shown that successful transactions require smooth-running interdisciplinary teamwork. With a well-established team made up of qualified tax advisers, accountants, management consultants and lawyers, we fulfil all of the requirements for a successful implementation of the project. We are thus able to ensure that the results of the tax, legal, financial and technical due diligence audits are brought together to form a complete picture and that there is no danger of suboptimal insular solutions being offered.


Financing

Changes in a company always require a close analysis of the optimum form of financing and the business activities. We advise the company, as well as the management, on all important business, tax and legal questions in order to achieve the optimum financing. It is not important whether this aim is to be achieved by means of equity financing in the form of an IPO, a first listing of equity instruments on a capital market, or in the form of outside financing (e.g. as project financing or a combination of both).

Companies and their management often have no previous experience in particular business deals. Independence and objectivity are important factors in a successful deal.
